1.How and when was Renren established?
 Our current holding company, Renren Inc., was incorporated in February 2006 in the Cayman Islands under our prior name, Oak Pacific Interactive, or OPI. We began our operations in China in 2002 through a company that subsequently became one of our consolidated affiliated entities through contractual arrangements.

2.What stock exchange does Renren trade on and what is its ticker symbol?
 Renren is traded on the New York Stock Exchange under the ticker symbol RENN.

3.Which is Renren's Depositary Bank?
 Renren's Depositary Bank is Citibank N.A

4.Why was I charged a “American Depository Receipt Fee” on my brokerage statement? What is it for? When and How often will I be charged this $12.00 fee?
 It is an annual depositary service fee Citi ADR charges RENN ADR shareholders each year. The fee is charged in March each year. A shareholder will be charged at USD2.00 per every 100 ADRs they hold on a cut-off day in March. The fee is stated in F6 form in SEC website filed by RENN.

5.Is the company considered foreign or domestic?
 The company is a foreign private issuer.

6.When did Renren go public?
 Renren went public on May 4, 2011.

7.At what price did Renren go public, and how many shares were issued?
 Renren Inc. went public at US$ 14 per ADS. A total of 53,100,000 American Depositary Shares were offered representing 159,300,000 Class A Ordinary Shares. Each ADS represents three Class A ordinary shares of Renren Inc., par value US$0.001 per share.

8.When does Renren's fiscal year end?
 Renren's fiscal year ends December 31.

9.How is Renren's market capitalization calculated?
 Each ADS represents 3 common shares. The market capitalization should be based on the total amount of ordinary class A and B shares issued and outstanding of 1,059 million which divided by 3, equals 353 million ADS, as of Dec.31, 2014. The market capitalization is calculated by multiplying stock price with outstanding number of ADS, i.e. 353 million ADS.

10.Who are Renren's independent accountants?
 Renren's independent accountants are Deloitte Touche Tohmatsu CPA Ltd.

11.Is Renren a social networking or gaming company?
 Renren Inc is a social networking focused company that actively engages in features that enhance user stickiness and monetization, such as gaming, internet finance and value added services.

12.Is Renren a mobile company?
 The mobile smart phone era is completely transforming the internet landscape and Renren Inc. is at the heart of this transformation. Given majority of our traffic and time spent on our social network platform is now on mobile, mobile is the priority of the Company. Renren Inc. is absolutely dedicated in mobile R&D and products to further enhance user engagement and growth.

13.Who are Renren’s largest shareholders?
 Renren’s top three shareholders are Softbank, CEO Joe Chen and DCM. Together, they make up 71.7% of Renren’s shares, as of February 28, 2014 per our 2013 Form 20-F.

14.How much does management own in Renren’s shares?
 In aggregate but excluding our founder, CEO and Chairman Joe Chen, all directors and senior management at Renren owns 11.9% of Renren’s shares as of February 28, 2014 per our 2013 Form 20-F.
